Notice Regarding Completion of Acquisition of Avista Technologies, Inc. and Avista Technologies (UK) Ltd. (to Make Them Subsidiaries)
Kurita Water Industries Ltd. ("Kurita") announced today that the procedures for acquisition of the outstanding shares of Avista Technologies, Inc. (Head Office: California, U.S.) and Avista Technologies (UK) Ltd. (Head Office: U.K.) were completed on May 15, 2019, Pacific Time, in the United States.
Avista Technologies, Inc. and Avista Technologies (UK) Ltd. engaged in manufacturing and sales of water treatment chemicals applied to reverse osmosis (RO) membranes, and as announced in the news release on May 13, 2019, titled Notice Regarding the Acquisition of Avista Technologies, Inc. and Avista Technologies (UK) Ltd. (to Make Them Subsidiaries), Kurita signed an agreement to acquire 100% of their outstanding shares through Kurita America Holdings Inc. (Head Office: Delaware, U.S.) and Kurita Europe GmbH (Head Office: Germany), which are subsidiaries of Kurita, on the date of the release in question. The acquisition procedures were thus carried out in accordance with this agreement.
Following the completion, Avista Technologies, Inc. and Avista Technologies (UK) Ltd. are now part of Kurita’s consolidated subsidiaries.
